Licence

CoolCMS licence terms

The terms under which you may run the CoolCMS content management system. Written to be read — not to be impenetrable.

Version 1.0, effective 1 September 2026. The licensor is Lukáš Oreška, Company ID 74962116, registered at Za Kinem 1052, 289 12 Sadská, Czech Republic (the “licensor”). The licensee is the party to whom the licence was granted (the “licensee”).

This is an informative translation. The Czech wording at coolsoft.cz/licence.html is the binding one.

1. What the licence covers

1.1 The System means the CoolCMS content management system — its core, modules, administration interface, libraries, database structure, templates and all source code created by the licensor before entering into the contract with the licensee, or independently of it.

1.2 Bespoke Work means the graphic design, theme, texts, images and any features created specifically for the licensee and paid for beyond the price of the licence.

1.3 Content means the data entered into the System by the licensee or by visitors to their website — texts, images, products, orders, user accounts and other database records.

2. Scope of the licence

2.1 The licensor grants the licensee a non-exclusive licence to use the System, for one website on one production domain stated in the contract or order.

2.2 The licence is granted perpetually and without territorial limitation. It is not tied to any maintenance contract or to any recurring payment.

2.3 A domain with the www prefix, and domains that merely redirect to the same website, count as the same domain.

2.4 The licensee may run development and testing copies of the System at no extra charge on non-public addresses (for example dev., test. or locally), provided they do not serve public traffic and are not accessible without access control.

2.5 Running another website, even for the same party, requires another licence. The price of a further licence is agreed separately.

3. Source code

This is the most important paragraph in the document. The System is written in PHP and runs on the licensee’s server, so the licensee necessarily receives the source code — the website could not work otherwise. Handing over the code is not a transfer of rights to it.

3.1 The licensee receives the complete source code of the System because it is necessary in order to run it. This does not affect copyright in the System, which remains with the licensor.

3.2 The licensee may read, study and modify the source code, and have it modified by a third party — but always solely for the operation of their own website under Article 2.

3.3 The licensee may make as many backup copies as safe operation requires.

3.4 Modifying the source code ends any claim to free defect removal in the affected part, and the licensor is not liable for the consequences of such a modification. The licence itself is not affected.

4. What the licensee may not do

The licensee may not:

  • Distribute the System or any part of it Sell, rent, lend, give away, publish or otherwise make the System, its source code or its documentation available to a third party.
  • Grant sub-licences Grant anyone else the right to use the System, not even free of charge.
  • Build their own product on the System Use the System or its parts as the basis of a solution offered, sold or operated for third parties — not even after rewriting, renaming or partial modification.
  • Run the System as a service Make the administration or features of the System available to third parties so that they run their own websites on it (SaaS, multi-tenant, “websites for clients”).
  • Remove authorship notices Remove or alter the author and licence notices in the source code. A notice in the visible part of the website (the footer) may be removed by agreement.

Employees, contractors and administrators are not “third parties”. The licensee may give the System to whoever maintains or modifies the website for them — but is responsible for making sure that person follows the same rules.

5. Statutory rights this licence does not restrict

5.1 Article 4 does not affect the rights granted to the licensee by Section 66 of the Czech Copyright Act, which cannot be excluded by contract — in particular the right to make a backup copy, to study how the program works, and, under the conditions set by law, to reproduce or translate it in order to achieve interoperability with another program.

5.2 If any provision of this licence proves invalid or unenforceable, the remaining provisions stay in force.

6. Transfer of the licence

6.1 The licence is tied to the website, not to the person. If the licensee sells the website, transfers the business or changes legal form, the licence passes to the new operator of the same website.

6.2 The transfer must be notified to the licensor in writing within 30 days. The notification is free of charge and the licensor cannot refuse it.

6.3 The licence cannot be transferred on its own, separately from the website for which it was granted.

7. Updates and support

7.1 The licence does not include any entitlement to updates, new versions, new modules or technical support. Those are agreed separately — see the services on offer.

7.2 Ending a maintenance or support contract does not affect the licence. The website keeps running.

8. Liability

8.1 The licensor warrants that at the time of handover the System matches the agreed scope and is fit for ordinary use.

8.2 The licensor is not liable for damage caused by improper use, by the licensee or a third party modifying the source code, by running the System on an unsuitable server, by an outage of hosting or third-party services, nor for lost profit.

8.3 Total damages are limited to the amount paid for the licence. This limitation does not apply to damage caused intentionally or by gross negligence.

9. Breach of the licence

9.1 If the licensee breaches Article 4, the licensor may terminate the licence in writing. Termination takes effect on delivery.

9.2 For a breach of Article 4, a contractual penalty of three times the licence price is agreed for each individual breach. The right to damages exceeding the penalty is not affected.

9.3 Before terminating or claiming a penalty, the licensor will call on the licensee to put things right and allow 15 days to do so, where the breach can be remedied.

10. Final provisions

10.1 The relationship is governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll. (Civil Code) and Act No. 121/2000 Coll. (Copyright Act).

10.2 The Czech wording is the binding one. Translations are informative only.

10.3 The licensor may change the wording for future licences. Licences already granted are governed by the wording in effect on the day they were granted.
